YOUTRIBE TERMS OF SERVICE

Welcome to YouTribe. The following Terms of Service ("Terms") constitute a legally binding agreement between
YouTribe.me (a service owned and operated by Ventture Group, Inc.) ("Ventture", "YouTribe," "we," "our," or "us")
and the individuals or entities ("Users," "Sellers," or "Buyers") accessing or utilizing the YouTribe website
(www.youtribe.me), mobile applications, and all associated services (collectively, the "Service"). By accessing,
browsing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms,
along with our Privacy Policy and all other applicable policies and guidelines.
If you do not agree to these Terms, you must immediately cease using the Service. Continued use of the Service
constitutes your acceptance of any modifications or amendments to these Terms.
1. SCOPE OF SERVICES
YouTribe is a digital commerce and community platform that enables content creators, educators, and business
owners ("Sellers") to establish and manage online communities, market digital products, and offer memberships
and other services to end-users ("Buyers"). Buyers are required to create an account with YouTribe in order to
purchase, access, and engage with Sellers’ offerings.
YouTribe serves solely as an intermediary facilitating transactions between Sellers and Buyers. We do not assume
ownership, control, or liability for the products or services offered by Sellers, nor do we provide any warranties
regarding the quality, safety, legality, or suitability of such products or services.
YouTribe offers the following services:
YouTribe Marketplace: A centralized digital marketplace where Sellers list their offerings and Buyers make purchases
directly through the platform.
YouTribe Payments: A transaction infrastructure that enables Sellers to accept payments for their services, either
through the YouTribe platform or via external integrations.
All payments are processed through third-party financial service providers, and YouTribe does not directly process
or store payment information.
2. ELIGIBILITY AND ACCOUNT REGISTRATION
To utilize the YouTribe Service, you must:
Be at least 13 years of age or the minimum legal age required in your jurisdiction.
Have full legal capacity to enter into a contract.
Not have been previously suspended or removed from the Service for violations of these Terms.
Ensure that all account information provided is accurate, truthful, and up to date.
Entities registering an account on behalf of a business or organization must ensure that the individual
accepting these Terms has the requisite legal authority to bind the entity to this agreement.
You are responsible for safeguarding your login credentials and all activities conducted under your
account. If you suspect unauthorized access, you must notify contact[at]youtribe.me immediately.
3. TRANSACTIONS, FEES, AND PAYMENTS
Fees and Pricing: Sellers retain discretion in determining the pricing of their offerings. YouTribe may
impose transaction fees or platform service charges, which are disclosed in our "fee schedule" policy
available from this site.
Payouts to Sellers: Net earnings, after applicable deductions (including platform fees, taxes, and
processing charges), will be remitted to Sellers according to YouTribe’s payout schedule and payment
processor policies.
Withholding Taxes. In some instances, YouTribe may have agreed, in its sole discretion, to serve as
the merchant of record for a given transaction related to the Services. As the merchant of record, YouTribe
may be obligated to withhold tax amounts from payments to Sellers. YouTribe may withhold from any amounts
payable to Sellers such federal, state, local or foreign taxes as shall be required to be withheld pursuant
to any applicable law or regulation, as determined in YouTribe’s sole discretion. In instances where YouTribe
is not the merchant of record, YouTribe does not bear any legal obligation or responsibility to, and will not,
collect, report, and remit any such taxes on behalf of a Seller under any circumstances.
Chargebacks and Disputes: Buyers must communicate directly with Sellers regarding refund or dispute resolution.
In the event of fraudulent transactions, excessive chargebacks, or non-compliance with these Terms, YouTribe
reserves the right to withhold or recover funds from Sellers.
4. ACCEPTABLE USE POLICY
Users of YouTribe are prohibited from:
Engaging in fraudulent, deceptive, or misleading practices.
Selling or promoting prohibited content, including but not limited to illegal goods, counterfeit products,
sexually explicit material, weapons, controlled substances, and unauthorized financial instruments.
Violating the intellectual property rights of any third party.
Disrupting the integrity, security, or performance of the Service.
Engaging in harassment, hate speech, defamation, or abusive behavior towards other users.
Using automated systems or bots to manipulate data or platform functionality.
Violations of this policy may result in account suspension, termination, or legal action.
5. INTELLECTUAL PROPERTY RIGHTS
User Content: Sellers retain ownership of any content they publish on YouTribe but grant YouTribe a
non-exclusive, worldwide, royalty-free license to display, distribute, and promote such content as
necessary to provide the Service.
Intellectual Property Violations: YouTribe respects intellectual property rights. If you believe that
content on the platform infringes upon your rights, please contact contact[at]youtribe.me with
detailed claims.
Trademarks and Branding: Users may not use YouTribe’s trademarks, trade dress, or branding without prior
written authorization.
6. TERMINATION, SUSPENSION, AND ACCOUNT CLOSURE
YouTribe reserves the right to suspend, terminate, or restrict account access at its sole discretion
under the following circumstances:
Repeated or severe violations of these Terms.
Engagement in fraudulent or unauthorized activities.
Regulatory or legal compliance obligations requiring account suspension.
Failure to respond to verification requests or identity authentication requirements.
Risk assessment indicating a high likelihood of chargebacks, disputes, or financial losses.
Users may voluntarily close their accounts by submitting a request to contact[at]youtribe.me. Any
outstanding obligations, including unpaid fees or unresolved disputes, must be settled before account
closure is finalized.
7. DISCLAIMERS AND LIMITATION OF LIABILITY
No Warranties: The Service is provided "as is" and "as available," without any express or implied
warranties of merchantability, fitness for a particular purpose, or non-infringement.
Limited Liability: To the fullest extent permitted by law, YouTribe’s total liability for any claims
related to the Service is limited to the greater of $100 or the total fees paid to YouTribe in the
three (3) months preceding the claim.
No Liability for Third Parties: YouTribe is not liable for actions, products, or services provided by
Sellers, Buyers, or third-party service providers.
8. DISPUTE RESOLUTION AND GOVERNING LAW
Arbitration Agreement: Any disputes arising from these Terms shall be resolved through binding
arbitration, except where prohibited by law.
Class Action Waiver: Users agree to waive their rights to participate in class action lawsuits against
YouTribe.
Governing Law: These Terms are governed by and construed in accordance with the laws of state of Delaware.
9. MODIFICATIONS TO TERMS
YouTribe reserves the right to amend these Terms at any time. Changes will become effective 30 days after
notice is provided via email, platform notifications, or public postings. Continued use of the Service after
the effective date constitutes acceptance of the revised Terms.
